Critical Notice — Read Before Using

Vocelz is an AI-powered administrative drafting tool for construction professionals. It is NOT a licensed engineering service, a professional estimating firm, a legal advisor, or a financial advisor.

YOU ASSUME FULL RESPONSIBILITY FOR REVIEWING, VERIFYING, AND APPROVING ALL AI-GENERATED CONTENT — INCLUDING QUANTITIES, PRICES, UNITS, CALCULATIONS, SCOPE DESCRIPTIONS, COMPLIANCE RECOMMENDATIONS, AND RISK ASSESSMENTS — BEFORE USING THAT CONTENT IN ANY CLIENT COMMUNICATION, CONTRACT, OR BUSINESS DECISION.

Modafolio LLC shall not be liable for financial losses, material shortages, labor disputes, regulatory violations, or any other damages arising from errors or inaccuracies in AI-generated outputs. See Section 12 — Limitation of Liability.

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User” or “you”) and Modafolio LLC (“Company,” “we,” “us,” or “our”) governing your access to and use of the Vocelz mobile application, web dashboard, and all associated services (collectively, the “Service”).

By creating an account, downloading the app, or using the Service in any way, you agree to be bound by these Terms. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms, and references to “you” include that entity.

If you do not agree to these Terms, you must not access or use the Service.

1. Description of Service

Vocelz is a software-as-a-service (SaaS) platform designed to assist licensed contractors, tradespeople, and construction professionals in generating construction cost estimates, managing field operations, maintaining client records, and supporting related administrative functions. The Service uses artificial intelligence to process voice recordings and job site photographs and produce structured estimate drafts.

Core Service capabilities include, but are not limited to:

—Material cost estimation using real-time pricing data

—Professional PDF quote document creation

—Client quote delivery via email

—Client database and relationship management

—Follow-up and win-back campaign automation

—Draw schedule and payment milestone generation

—Financing option calculation for qualifying quotes

—State-specific contractor compliance disclosures

—Sales tax calculation by job site ZIP code

—Daily field logs and crew communication

—AI-generated safety tailgate briefings

—Safety incident logging

—Equipment rental vs. purchase ROI analysis

—Labor burden and overhead allocation

—Tax expense categorization (IRS Schedule C)

—Project phase planning and tracking

—Lien deadline tracking by jurisdiction

—Team member management (RBAC)

—Offline quote drafting with automatic sync

—Client risk scoring

—Trade vocabulary customization

—Social media caption generation

—Public lead capture widget

The Service is intended exclusively for business and professional use. It is not a consumer product. You represent that you are using the Service in your capacity as a licensed or professional contractor, business operator, or their authorized representative.

2. Eligibility & Account Registration

To use Vocelz, you must: (a) be at least 18 years of age; (b) have the legal capacity to enter into binding contracts in your jurisdiction; (c) not be prohibited from using the Service under applicable law; and (d) provide accurate, current, and complete registration information.

You are responsible for maintaining the security of your account credentials. You agree to: (a) notify us immediately of any unauthorized access or suspected breach; (b) not share your credentials with unauthorized parties; and (c) accept responsibility for all activity that occurs under your account.

You may invite team members to your account under the role-based access control (RBAC) system. You are responsible for ensuring that all team members comply with these Terms and for all actions they take within your account.

We reserve the right to suspend or terminate accounts that provide false registration information, violate these Terms, or engage in prohibited conduct.

3. Subscription Plans & Billing

3.2 Payment Processing

All subscription payments are processed through secure third-party payment processors. Modafolio LLC does not directly handle or store your payment card information.

3.3 Billing Cycle & Renewal

Subscriptions renew automatically at the end of each billing period (monthly or annually, as selected) unless cancelled before the renewal date. You authorize recurring charges to the payment method provided.

3.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access until that date.

3.5 Refund Policy

Because Vocelz provides immediate access to premium features upon activation, all subscription purchases are final. No refunds will be issued for unused periods of a current subscription term, partial months, or periods when you did not use the Service.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

✕Use the Service for any purpose other than legitimate construction business operations

✕Process or transmit personal data of individuals without their knowledge and consent

✕Submit false, misleading, or fraudulent information to clients

✕Attempt to bypass or exploit any rate limiting or quota system

✕Reverse engineer or attempt to derive source code from the Service

✕Introduce malware, viruses, or other malicious code

✕Scrape or harvest data from the Service without authorization

✕Impersonate any person or entity

✕Use the Service in any way that violates applicable laws or regulations

5. AI Services — Limitations & User Responsibilities

Vocelz uses artificial intelligence to assist with construction estimating. AI is a powerful tool, but it is not infallible. The following limitations apply to all AI-generated content within the Service.

AI Outputs Are Drafts, Not Final Documents: All AI-generated content — including quote line items, quantities, and summaries — is provided as an administrative draft only.

AI Hallucinations: AI models can produce outputs that are factually incorrect or contextually inappropriate. You must verify all quantities and item types.

Pricing Accuracy: Material prices reflect publicly available data and may not reflect your specific supplier rates or regional market conditions.

Your Professional Judgment Controls: Vocelz is designed to support your professional judgment — not replace it. You retain full responsibility for every quote and contract.

12. Limitation of Liability

Read Carefully — This Section Significantly Limits Your Ability to Recover Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MODAFOLIO LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

•Loss of profits, revenue, or business opportunities

•Financial losses arising from AI-generated quote inaccuracies

•Material shortages or cost overruns due to incorrect estimates

•Labor disputes or contractual liabilities arising from quotes

•Loss of data or failure of data backup

WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.
